Abstract

The last judgments of the European court of Justice have cleared that individuals have the right to establish a company under the Law of the Member State they freely choose. The other Member States must recognize the company as validly created regardless the Member State where the company runs its business. The Conflict-Of-Laws Rules of the Member States can not modify this rule. The UE aims to elaborate a Regulation concerning the Law applicable to companies: the law governing companies should be the Law of the State where the company has been incorporated.
